Terms & Conditions
At Hispanophile we want to ensure that both you and your child experience a wonderful time in class. To this end, we kindly request that you embrace and comply with these terms and conditions at all times as these are the terms on which we supply our services.

Please read these terms carefully before you submit your Booking Form to us. These terms tell you who we are, how we will provide services to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us at info@hispanophile.co.uk

About these Terms and Conditions
By submitting a Booking Form to Hispanophile, you are signifying your agreement to and acceptance of our Terms and Conditions. All references to the Terms and Conditions refer to these Terms and Conditions as amended and updated from time to time.

The Parent acknowledges and accepts that it is contracting with Hispanophile.

If we have to contact you, we will do so by telephone or by writing to you at the email address or postal address you provide to us in your Booking Form.

Definitions

  • Agreement”: means these Terms and Conditions and the Booking Form.

  • Hispanophile”: means the Hispanophile with whom the Parent, Individual or Company has entered into this Agreement.

  • Booking Form”: means the form relating to the booking of the Service(es) and which incorporates these Terms and Conditions.

  • Teaching Staff”: means the person / persons who attend the Class(es) or any part of it, or / and any event or any other service provided, with the Child as authorised by the Parent.

  • Instructor”: means the person / persons who attend the Class(es) or any part of it, or / and any event or any other service provided, with the Child as authorised by the Parent.

  • Child” / “Children”: means the child or children who attend the Class(es) whose details are specified by the Parent on the Booking Form and any other child otherwise permitted by Hispanophile to attend the Class(es) with the Parent, or Teaching Staff, or Instructor.

  • Venue(es)”: means a place / places where the services are provided by Hispanophile

  • Class(es)” / “Course(es)” / “Lesson(es)” : means a Class(es), Course(es), Lesson(es) taught by Hispanophile at the Venue.

  • Service(es)”: Any learning and / or cultural experience, included any: Class(es), Course(es), Lesson(es), or and any Event(es) run by Hispanophile at a Venue or / and a partner site.

  • Event(es)”: Any learning and / or cultural experience run by Hispanophile at a Venue or and a partner site.

  • Educational materials”: any teaching material bought and used for the students. Our Spanish educational materials are one-off costs. The cost can vary depending on the level, the Term, the kind of lesson, course or event.

  • Fee”: means the amount payable for any of our Service(es) as detailed in the confirmed Booking Form. The fee could vary depending on the number of the lessons per Term.

  • Registration Fee”: means the amount payable for You (The Parent, Individual or Company) to Hispanophile in order to guarantee your place. A fee paid to register, to enrol or sign up for any of our course(es).

  • Free Taster Class”: means the specific Class the Parent and Child together, or the Child attend free of charge and which are subject to these Terms and Conditions.

  • Parent”: means a parent or legal guardian who will be responsible for the payment of fees, and who is the contracting party to this Agreement.

  • “Term “: denotes the periods throughout the year during which we run regular Classes.

Provision of Service

Registration
We encourage students to register early or we may not be able to accommodate you at the time that best fits your schedule. Hispanophile reserves the right to cancel courses for which fewer than five students have registered.

Enrolment
Before enrolling, students are requested to examine their personal commitments (family, employment, health, etc.) carefully as fees are non refundable under any circumstances once classes have started.

If a student wants to enrol for the first time on a course and they want to do it in a course above A1.1 (Elementary 1) level, they must do a level test before the class in order to check Spanish language knowledge and assign them to the level and group most suitable for their needs.

Class Size
The minimum class size for a group of students is five, if the lesson is not at home or in an office environment, and the maximum is twelve. However, in special circumstances and depending on the needs of the course and or the educational organisation, Hispanophile reserves the right to reorganise the size of the class.

Teachers & Classes
Hispanophile reserves the right to reassign teachers after a group course has started. Students cannot choose the teacher for their courses / lessons.

The client acknowledges and agrees that Hispanophile reserves the right to replace any teacher without notice at any time without any liability arising from such a change except in accordance with these Terms.

Students & Classes

Hispanophile will provide Classes which:

conform in all material respect to their description;

are carried out with reasonable skill and care;

be fit for the purpose that Hispanophile determine it is fit for ; and comply with all applicable statutory and regulatory requirements for supplying the Classes in the United Kingdom.

These Terms apply to any replacement Classes Hispanophile supply in the unlikely event that the original Classes do not conform with these Terms.

Parent / Carers, neither of any of our clients are permitted to use the Classes or information received from the Classes for any commercial purpose.

Parent / Carer Responsibilities
The Parent warrants and represents that:

    • the information set out in the Booking Form whether completed and or accepted / signed by the Parent or by the Carer on behalf of the Parent, is accurate in all respects and the Parent will notify Hispanophile of any change in such information immediately;

    • when attending a Class, neither the Child nor the Parent / Carer will be knowingly suffering from any illness, infectious disease or anything similar thereto;

    • there will be at least one Parent / Carer for every two Children that are booked by the Parent to attend the Class.

    • The Parent agrees that if he or she cannot attend the Class with the Child, he or she will provide a Carer at each Class for the Child. A Child will be not allowed to attend the Class without being accompanied by either a Parent or Carer.

The Parent is responsible for ensuring that the Carer complies with these Terms and Conditions at all times.

The Parent acknowledges and agrees that:

    • he or she is solely responsible for the health, safety, welfare and care of the Child;

    • the Child will not be left unattended at any time;

    • the Child attending the Classes shall be deemed to be under the Parent or the Carer’s direction care and control throughout the Classes and the Parent / Carer shall be responsible for the welfare and conduct of the Child throughout the Classes it is the Parent / Carer’s decision as to whether or not to participate in the activities proposed by the Hispanophile teacher during the Class and that the Parent / Carer can opt out of any activities that he or she considers to be unsuitable for the Child;

    • the Parent / Carer is solely responsible for supervising the Child and their use of any props;

    • the Parent / Carer will comply with all health and safety rules and procedures in place at the Venue where the Class is held.

The Parent shall indemnify and keep indemnified Hispanophile against all loss, liability, costs and expenses which Hispanophile hall incur directly or indirectly as a consequence of any action or inaction of the Parent, the Carer or the Child.

Attending Classes & Events – Code of Conduct
Once classes have started, it is not possible to switch courses. Non-attended classes won’t be refunded.

Please get a fellow student’s telephone number or contact your teacher for homework in cases of absence. You can send an email to info@hispanophile.co.uk writing the name of the teacher as the subject of your email.

In order to create a relaxed and comfortable environment for all attendees, we ask that you comply with the code of conduct of each education organisation we collaborate with, and / or the one below:

    • Classes will start on time and clients must arrive 5 minutes before the Class or the event.

    • During the Class or the event, mobile phones must either be switched off or on silent.

    • The Hispanophile environment is relaxed and sociable, however to show respect for the group, general chatter must be kept to a minimum to ensure that the teacher can be heard and that the focus is kept on the children.

    • Classes and events are sometimes held in venues with hard surfaces and, although mats are provided, Parents / Carers may like to bring a small blanket to lay a child on.

    • While we encourage participants to drink water in class, we ask that no food is consumed during the Class. If a child needs to be fed for medical reasons please ensure this information is provided on the Booking Form.

    • If the teacher determines that the Parent / Carer and Child are disruptive, the teacher on behalf of Hispanophile, shall be entitled to exclude the Parent / Carer and Child from the Class. The Parent / Carer agrees that the determination of whether a Parent / Carer and / or Child is disruptive will be determined by the Hispanophile teacher and the Parent agrees and accepts that the decision of the Hispanophile teacher is final.

    • Attendance is the student’s responsibility. If a student does not attend a class, the lesson cannot be made up at another time. Missed Class(es) cannot be carried over to the next Term. Missed Classes are not refundable.

    • Notwithstanding the aforementioned, Hispanophile is unable to offer concessions for missed classes due to sickness or holidays, in certain circumstances and solely at the discretion of Hispanophile.

Courses & Educational Materials
Our Spanish courses and lessons require a text book, the price of which is not included in the course fee. You can purchase your required text book anywhere you wish. Information about the books used at each course will be provided when booking.

Some of our courses and lessons require educational materials that cannot be bought in any other place than from us. Not all our courses require Educational Materials.

For further information about the books and / or educational materials used at each course, please contact the Academic Department at info@hispanophile.co.uk writing the name of your teacher and course as the subject of your email.

Free Taster Class
Sometimes, Hispanophile may offer a Free Taster Class. Bookings submitted for the Free Taster Class are at all times subject to availability and not guaranteed.

Booking & Payment
Our office working hours are: Mon to Fri 9 am to 17 pm. Lunch break between: 12 to 12:45 pm.

Any of our services must be booked using the Booking Form and the Fee and / or any Educational materials required, if applicable, must be paid in advance of the Term or the Class.

Once we process the Booking form we will confirm you by email the total payment due (included the registration fee, the service fee, the educational materials, and / or any Spanish Learning Books, if applicable).

Booking Forms and Applications may take up to 48 hours to process (2 working days).

Total payment shall be due to Hispanophile within 5 (five) working days from the date we confirmed you the total payment due.

If payment is not received within 5 working days from the date that we confirm you total payment due, a student’s place is not confirmed or guaranteed.

Only when the Booking Form and total payment are received will your booking be confirmed. We will confirm you the place once we have both confirmed by email.

If you have not got any confirmation from us, any previous arrangements to start any of our services will be cancelled.

Term and Classes dates will varies from educational establishments to educational establishments. This information will be provided when booking.

Full payment must be received prior to the first class.

Changes to Classes
Only in the event of a client needs to change the date of enrolment to a service and the service has already paid in full (total cost of the course), Hispanophile will offer to refund the relevant fees.

Refund & Cancellation Policy
Hispanophile reserves the right to cancel any service that does not meet the required number of students / attendants at any time up to 24 hours before the service starts.

Hispanophile may cancel this Agreement at any time and for any reason whatsoever. If the Agreement is cancelled by Hispanophile, the unused portion of the Fee will be refunded to the payer.

If for any reason our usual staff is unable to run a service, then Hispanophile will do its best to provide the service . If this is not possible, Hispanophile will, at its sole option, either reschedule the service by adding another session during the half term or end of term break, or will refund the Fee for that service.

We do recommend our clients not to arrange any transport until they have contacted to the Admin office to check that the course is going ahead.

If you do not receive any email informing about the cancellation of any of our services 24 hours before the service starts the service will be provided.

Neither the Registration fee nor the Service Fee are refundable under any circumstances except with the prior written agreement of Hispanophile.

In the event of a customer is cancelling their registration to any of our services, Registration Fees are not refundable. It is only refundable if requested by email within the 48 hours, that we usually have to process it (2 working days). 48 hours since you emailed us your Booking Form.

If the customer already paid the service in full, cancellation can be done within the 5 (five) working days from the date we confirmed you the total payment due by email. We will not refund if the service started or will star within the next 72 h.

You can email your cancellation request at admin@hispanophile.co.uk. Unfortunately we cannot accept cancellations by phone. Please include the Registration Fees, Booking Form, proof of payment and our confirmed email, if you did all the registration process.

Notwithstanding the aforementioned, Hispanophile is unable to offer concessions for missed classes due to sickness or holidays, in certain circumstances and solely at the discretion of Hispanophile.

Missed Class(es) cannot be carried over to the next Term.

We do not refund any fees or payments of our seminars, workshops, parties neither any of our cultural or learning events.

Limitation of Liability

Hispanophile shall not be responsible for any loss that a Parent / Carer suffers as a result, except for those losses which it could reasonably foresee would result from the failure to comply with these Terms and Conditions.

Hispanophile shall not be responsible to the Parent, Carer or Child for losses that result from its failure to comply with these Terms and Conditions including, but not to, losses that fall into the following categories:

    • loss of income or revenue;

    • loss of business;

    • loss of anticipated savings; or

    • loss of data.

This clause shall not prevent claims for foreseeable loss of, or damage to, the Parent’s physical property.

This clause does not exclude or limit in any way Hispanophile ’ liability for:

    • death or personal injury caused by our negligence; or

    • fraud or fraudulent misrepresentation; or

    • any breach of obligations under the Consumer Rights Act 2015

    • any other matter for which it would be illegal or unlawful for Hispanophile to exclude or attempt to exclude its liability.

The Parent agrees that any claim against Hispanophile or any teacher, practitioner, employee or agent of Hispanophile must be brought within 30 days of the event that gave rise to such claim. The Parent agrees any claim made thereafter should be discussed.

The Parent acknowledges, warrants and undertakes that the maximum aggregate liability of Hispanophile to the Parent under these Terms and Conditions shall not exceed the Fee paid.

All warranties and conditions whether implied by statute or otherwise are so far as is permitted excluded from these Terms and Conditions.

Data Protection

Hispanophile acts a Data Controller in relation to services supplied under these Terms and Conditions.

The Company will adhere to all applicable data protection laws and always stores data sent to us in a secure manner as outlined in our Privacy Policy.

The Company shall ensure that data processing only takes place in accordance with the terms of this Terms and Conditions and any Data Processing Agreements in place from time to time. The Company only processes personal data where it has a lawful basis to do so.

We retain the right to respond to legal requests as necessary.

Personal Data

Hispanophile shall uphold all rights in relation to the use of a data subjects’ personal data. The rights of data subjects are contained within our Privacy Policy.

As permitted under data protection legislation, we will store a Client’s data for as long as necessary in order to provide our services to the Client. Information associated with your account will be kept until your account is deleted, unless the information is no longer needed for the purposes agreed or for other legitimate purposes.

Once our relationship with you as a user of our classes has terminated, we will retain personal information only to comply with legal requirements, prevent fraud, collect any fees owed, resolve disputes, troubleshoot problems, assist with any investigations, enforce our Terms and Conditions, and take any action permitted by law.

We do not pass Clients’ information to any third parties except those who have contractually agreed to abide by our service Terms and Conditions. Your data will not be used or sold outside of the agreed Terms and Conditions.

Intellectual Property

Hispanophile reserves the right to all intellectual property in relation to this website and the services provided. Use of the services does not give the user any ownership in the services, its content or any trademark or logo used on the website.

Any information or material provided to us is on the basis of a non-exclusive, irrevocable, perpetual and royalty free licence to use such information and material in relation to the services we provide under our Terms and Conditions.

Changes to Terms & Conditions

These terms and conditions may be modified from time to time and you are advised to check this page to see that you are reading the most up-to-date Terms and Conditions.

By accepting our Terms and Conditions, you consent to our collection, storage, use and disclosure of your personal information as described in our Privacy Policy.

Force Majeure

Hispanophile will not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under the Agreement that is caused by events outside its reasonable control. Such causes include, but are not to: power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of Hispanophile.

Severance

Each of the paragraphs of these Terms and Conditions operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

No waiver

The failure by either party to enforce any obligation under these Terms and Conditions at any time or for any period shall not be a waiver of them or of the right at any time subsequently to enforce all the obligations arising under these Terms and Conditions.

Entire Agreement

These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements and understandings between the parties. It is agreed that no statement, promise or inducement whether written or oral alleged to have been made by either party and which is no contained herein shall be binding or form part of these Terms and Conditions.

Rights of Third Parties

No term of the Terms and Conditions will be enforceable under the Contracts (Rights of Third Parties) Act 1999 by any person who is not a party to it.

Governing law and Jurisdiction

This Agreement shall be governed by English law and each party irrevocably submits to the exclusive jurisdiction of the English courts.
